Please read these Terms and Conditions carefully before using the SEP Platform platform. By accessing or using our services you agree to be bound by these terms.
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and SEP Platform ("Company", "we", "us", or "our") governing your access to and use of the SEP Platform online learning platform, website, mobile applications, and all associated services (collectively, the "Platform").
By registering an account, clicking "I agree", completing a purchase, or otherwise accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms in their entirety, you must not access or use the Platform.
SEP Platform is an online learning management system that provides:
We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time with reasonable notice where practicable.
You must be at least 13 years of age to create an account. If you are under 18, you must have the consent of a parent or legal guardian who agrees to these Terms on your behalf. Users under 13 are strictly prohibited from registering.
You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Individual student accounts are personal and non-transferable. Creating multiple accounts to circumvent restrictions, obtain free trials repeatedly, or abuse promotional offers is strictly prohibited and may result in all associated accounts being permanently suspended.
You must notify us immediately at info@smarteduplus.com if you suspect any unauthorised use of your account. We are not liable for any loss resulting from unauthorised access to your account that occurs through no fault of our own.
You agree not to engage in any of the following:
Violation of this section may result in immediate account termination without refund, legal action, and/or reporting to relevant authorities.
All content on the Platform — including but not limited to course videos, written materials, assessments, AI-generated content, branding, logos, software, and databases — is owned by SEP Platform or its content licensors and is protected by Nigerian and international intellectual property laws.
Upon enrolment in a course, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and view course content for your personal, non-commercial learning purposes only. This licence does not include the right to download (unless explicitly provided), copy, reproduce, broadcast, or create derivative works from any content.
Where you submit content to the Platform (e.g. forum posts, assignments, feedback), you grant us a worldwide, royalty-free, non-exclusive licence to use, reproduce, and display such content for the purpose of operating and improving the Platform. You represent that you own or have the necessary rights to submit such content.
Certain courses are provided at no charge. Free courses may be subject to capacity limits or may be converted to paid courses with reasonable notice.
Paid course prices are displayed in the applicable currency at the time of purchase. Prices may include tiered seat-based packages for organisations. All prices are inclusive of applicable taxes unless stated otherwise. We reserve the right to change prices at any time; price changes will not affect orders already completed.
Payments are processed through secure third-party payment gateways (including Paystack and other providers). By making a purchase you agree to the relevant payment processor's terms. We do not store your full card details on our servers.
If a payment fails after initiation, no enrolment will be activated. You must re-initiate the transaction. Contact us if funds were debited without successful enrolment.
If you are not satisfied with a paid course, you may request a full refund within 30 days of purchase, provided that you have completed less than 30% of the course content. Refund requests must be submitted to info@smarteduplus.com with your order reference.
Refunds will not be issued in the following circumstances:
Refunds for bulk seat packages are subject to a separate written agreement. Seats that have been activated (assigned to a learner who has commenced the course) are non-refundable.
Approved refunds will be processed within 7–14 business days to the original payment method.
The Platform includes AI-powered features including but not limited to ARIA (AI Tutor), AI Course Builder, and AI-generated quiz and assessment content.
Where a company, institution, or other entity ("Organisation") registers an account or purchases bulk seat packages:
Upon successful completion of a course (meeting the defined passing criteria), a digitally verifiable certificate will be issued to your account. By accepting a certificate you confirm that:
Certificates issued by SEP Platform are digital credentials and do not constitute formal academic qualifications unless otherwise stated. We reserve the right to revoke certificates where academic dishonesty is proven.

The Platform and all content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
To the fullest extent permitted by applicable law, SEP Platform and its officers, directors, employees, contractors, licensors, and agents shall not be liable for any:
In no event shall our total aggregate liability to you for any claims arising out of or relating to these Terms or your use of the Platform exceed the greater of (a) the total amount you paid to us in the 12 months preceding the claim or (b) ₦10,000, regardless of the cause of action or theory of liability.
You agree to indemnify, defend, and hold harmless SEP Platform and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and disclose your personal data. By using the Platform you consent to the collection and use of your information as described in the Privacy Policy.
We comply with the Nigeria Data Protection Act 2023 (NDPA) and, where applicable, the European Union General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
Before initiating formal proceedings, you agree to contact us at info@smarteduplus.com and attempt to resolve the dispute informally for at least 30 days.
If informal resolution fails, disputes shall be resolved by binding arbitration under the Arbitration and Conciliation Act of Nigeria. The arbitration shall be conducted in English in Lagos, Nigeria. The arbitrator's award shall be final and binding.
You waive any right to participate in a class-action lawsuit or class-wide arbitration against SEP Platform.
We reserve the right to modify these Terms at any time. When we make material changes, we will:
Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Platform and may request account deletion.
